The Firm's Practice Areas
ALG focuses its practice on representing individuals, partnerships, LLCs and corporate entities in the areas of hospitality law, commercial real estate transactions, structured finance and general corporate matters. In many instances, ALG serves as external General Counsel for companies that have not yet formed an in-house corporate law department.
Start-Ups
We frequently serve as counsel to start-ups at the pre-formation stage providing founders with critical guidance relating to capitalization strategy, corporate or LLC governance and control decisions, entity type and formation considerations, equity incentive plan structure, trademark & IP matters and then execute every aspect of the legal documentation required to launch a company and often are relied on to lead all administrative aspects of a company's launch if the founders have not yet identified a CFO and COO. Additional experience includes working closely with Carta.com serving as the company stock registrar and transfer agent in private placement offerings.

Hotel & Restaurant Professionals
ALG has worked with some of the leading hospitality industry professionals including Michelin acclaimed executive chefs, hotel and restaurant management and corporate executives in advising on their personal service agreements, consulting engagements, intellectual property & licensing agreements (NILs) and other employment related matters including incentive based compensation plan design.

Hospitality & Commercial Real Estate Matters
We handle single asset and complex real estate acquisition and disposition transactions as well as ground up construction projects. ALG also frequently works with landlords and tenants on the development of restaurant, bar and event venue lease terms, negotiation of guarantee provisions and economic modeling + contract documentation of percentage rent features or other profit participation structures. The firm also has extensive experience in evaluating the economic implications of restaurant & hotel management agreements including quantifying the pro forma payouts under base and incentive management fees and negotiating these complex owner-operator agreements.

Hampton Inn & Suites Birmingham, AL construction project opening 2024. ALG served as project counsel including site acquisition, franchisor agreement, owner entity formation, loan documents, city incentive agreements, architect, general contractor and hotel management agreements. Affiliate ARHospitality Capital arranged the construction financing.
Finance
ALG is often relied on to represent property owners in capital markets transactions including senior, mezzanine loan and preferred equity loans. The firm leverages its partner's experience having represented the leading Wall Street banking institutions in structured finance transactions involving over $3 billion of debt across hundreds of deals and its experience having served as a structured finance banker and co-head of the Commercial Real Estate Finance Strategies at a leading global investment management firm.
